STANDARD TERMS AND CONDITIONS OF SALE
These Standard Terms and Conditions of Sale ("Terms") govern all sales of goods and provision of services by Varexya LLC ("the Company"), reachable at hello@varexya.com or +1 307-533-3125. They apply to every order placed with the Company unless expressly derogated from in advance and in writing.
1. Precedence of these Terms
The Client explicitly waives its own standard terms and conditions, even where these were drawn up after these Terms. To be valid, any derogation from these Terms must be expressly agreed in writing in advance.
2. Payment
Our invoices are payable within twenty-one (21) working days, unless a different payment timeframe is indicated on the invoice or the order. In the event of non-payment by the due date, the Company reserves the right to charge a fixed interest payment equal to 10% of the sum remaining due. The Company is authorized to suspend any provision of services without prior notice in the event of late payment.
3. Debt Recovery
If a payment remains outstanding more than sixty (60) days after its due date, the Company reserves the right to engage the services of a debt recovery agency. All related legal expenses will be payable by the Client.
4. Withholding Tax
Certain countries apply withholding tax at source on invoice amounts, in accordance with their domestic legislation. Any such withholding is the Client's responsibility and must be paid by the Client to the relevant tax authorities. Under no circumstances can the Company bear costs arising from another country's legislation. The invoice amount is therefore due to the Company in full and excludes any costs relating to the legislation of the country in which the Client is located.
5. Nature of Obligations
The Company undertakes to use its best efforts to deliver performant services within the agreed timeframes. However, none of its obligations constitutes an obligation to achieve a specific result. The Company cannot, under any circumstances, be required by the Client to appear as a third party in connection with any claim for damages brought against the Client by an end consumer.
6. Claims
For a claim to be admissible, the Company must be notified of it by letter sent by recorded/certified delivery to its registered office within 8 days of delivery of the goods or provision of the services.
7. Governing Law
All contractual relations between the Company and the Client will be governed exclusively by the laws of the United States[, and specifically the State of Wyoming.
